By accessing or using the heezresearch.com website (the “Website”) or purchasing any HEEZ Research (“HEEZ Research,” “we,” “our,” or “us”) products, you (the “Customer,” “you,” or “your”) affirm that you are at least 21 years of age and agree to be bound by these Terms and Conditions of Service (the “Terms”) in their entirety. By purchasing or using any product from the Website, you acknowledge that you have read, understood, and accepted the following Research Use and Compliance Disclaimer. If you do not agree to these Terms, you must exit the Website.

Eligibility & Acceptance of Terms

Before accessing, using, or purchasing from the Website, all users must review, acknowledge, and agree to the following. By continuing to access the Website, you confirm that you:

  • Have read and understood the Research Use and Compliance Disclaimer below.
  • Are at least 21 years of age .
  • Are a qualified researcher operating within a controlled laboratory environment.
  • Agree that your access to the Website constitutes acceptance of and consent to be bound by these full Terms.

If you do not agree, you must exit the Website. Access is not permitted without acceptance.

Research Use Only — Product Purpose

All products available on the Website are strictly intended for laboratory research purposes only . You acknowledge that:

  • Products are not for human or animal consumption .
  • Products should not be used as food, drugs, cosmetics, or for any household use.
  • It is your sole responsibility to ensure compliance with all applicable laws and regulations within your jurisdiction.
  • No information on the Website should be interpreted or construed as medical advice or guidance.

Customer Representations & Warranties

By purchasing from HEEZ Research, you represent and warrant that:

  • You are at least 21 years of age.
  • You are a qualified researcher or operate within a controlled laboratory environment.
  • You understand the health and safety hazards associated with handling laboratory chemicals and compounds.
  • You have the necessary knowledge, training, equipment, and facilities to safely handle these materials.
  • You will comply with all applicable local, state, federal, and international laws regarding the purchase, possession, and use of research materials.
  • You understand that certain compounds may not be listed on the Toxic Substances Control Act (TSCA) inventory, and you accept full responsibility for verifying compliance for your intended use.

HEEZ Research reserves the right to deny access to the Website and sale of products to any underage or unqualified individuals.

FDA & Legal Disclaimer

The statements and information provided on the Website have not been evaluated by the U.S. Food and Drug Administration (FDA).

HEEZ Research is a research-use-only (RUO) chemical supplier and not a compounding facility, medical provider, or outsourcing facility under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act. All products are labeled and marketed for research use only.

Prohibited Uses & Blacklist Policy

Any communication that leads us to believe you intend to use our products in a manner other than that for which they are intended will result in a “Refusal to Sell” alert or “Blacklist” email. This means you will no longer be able to make purchases on the Website. All collected information will be added to our internal “Banned” database, which every order is checked against. Blacklist bans are permanent.

The following Prohibited Uses will not be tolerated and will result in a lifetime ban. Products shall NOT be used for:

  • Human or animal consumption
  • Diagnostic, therapeutic, or clinical applications
  • Compounding under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act
  • Performance enhancement or aesthetic purposes
  • Any consumer, agricultural, or commercial applications
  • Educational demonstrations involving human or animal subjects

This list is not exhaustive. HEEZ Research reserves the right to suspend or terminate any account at any time, with or without notice, for violations or suspected violations of these Terms.

No Usage Guidance; Affiliation Requirement

HEEZ Research assumes that you are familiar with the products being purchased and does not provide guidelines or suggestions regarding their use. Any request for usage guidelines may be considered evidence of lack of qualification and may result in order cancellation and/or account termination.

You represent and warrant that you are affiliated with a laboratory, institution, university, or other research-based facility purchasing products for research purposes only. HEEZ Research reserves the right to perform due diligence screening upon receiving an order and may require verification of affiliation prior to order fulfillment. Failure to provide verification within five (5) business days of request shall result in automatic order cancellation without refund of any deposits or fees paid.

Use of the Website

You are prohibited from modifying, distributing, transmitting, reproducing, publishing, licensing, transferring, or selling any information, products, or services obtained on the Website. You may display, download, or print hard copies for your own internal, non-commercial research use, provided you do not modify content or remove copyright or proprietary notices. Unauthorized use may result in immediate account termination and legal action.

We reserve the right to correct any inaccuracies or typographical errors and shall have no liability for them. Information, prices, and product availability may be changed without notice. The Website is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Orders, Pricing & Payment

You agree to provide current, complete, and accurate purchase information. We reserve the right to refuse or cancel any order at our sole discretion, including after payment has been received. In the event of cancellation, our sole obligation is to refund the purchase price paid; we have no liability for consequential, incidental, or indirect damages.

Order Acceptance: Prices are invitations to conduct business, not binding offers. All customers must be at least 21 years old. A contract is formed only upon our written confirmation of acceptance.

Pricing: All prices are in USD unless otherwise specified and exclude taxes, duties, and shipping. Prices are subject to change without notice. You are responsible for all applicable taxes.

Payment Methods Accepted:

  • Major credit cards (Visa, Mastercard, American Express, Discover)
  • ACH and wire transfers
  • Cryptocurrency (BTC, ETH, USDT) through compliant providers

Payment Terms:

  • ALL SALES ARE FINAL.
  • Orders are non-cancellable once payment is processed.
  • We do not accept refunds, except on products with verified manufacturing defects.
  • Late payments accrue interest at 1.5% per month (18% per annum) or the maximum rate permitted by applicable law, whichever is lower.

Chargeback Policy

If you initiate a chargeback without first contacting support@heezresearch.com in writing and allowing HEEZ Research thirty (30) business days to investigate and resolve the dispute in good faith, you agree that such action may be considered a material breach of these Terms, and we reserve the right to pursue the following remedies:

  • Immediate account termination
  • Collections proceedings, including attorneys’ fees
  • A $2,500 liquidated damages fee
  • Reporting to regulatory authorities

Shipping & Delivery

You are responsible for providing accurate and complete shipping information. HEEZ Research shall not be liable for delays, losses, or costs associated with reshipments resulting directly from incorrect or incomplete addresses provided at checkout. We will make reasonable efforts to notify you of any apparent address issues prior to shipment.

  • Shipping is limited to the continental United States only.
  • We use UPS and FedEx exclusively.
  • We may refuse high-risk addresses.

Material Transfer Agreement (MTA): Each order requires the execution and return of HEEZ Research’s Material Transfer Agreement, the current version of which is available at heezresearch.com/mta . The MTA in effect at the time of order placement governs the transaction and is incorporated by reference into these Terms.

Returns & Refunds Policy

ALL SALES ARE FINAL. Due to the nature of research chemicals and safety/contamination risks:

  • NO RETURNS OR REFUNDS (except for verified manufacturing defects)
  • No cancellations after payment
  • No exchanges

Inspection Requirements: You must inspect shipments immediately upon receipt and report any issues in writing to support@heezresearch.com within seven (7) calendar days of delivery, with photographic evidence and, where applicable, analytical data supporting the claim.

Limited Remedy: For verified manufacturing defects only, at our discretion, we may issue a replacement with conforming product or credit toward future purchase. Cash refunds are not available except as may be required by applicable law.

Product Disclaimer & Limitation of Liability

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR AS REQUIRED BY APPLICABLE LAW, PRODUCTS ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

HEEZ Research makes no representation regarding experimental outcomes, product performance in specific applications, or batch-to-batch consistency beyond specifications.

HEEZ Research’s total liability shall not exceed the purchase price of the specific product. We are not liable for:

  • Indirect, consequential, or incidental damages
  • Lost profits or business interruption
  • Personal injury after title transfer
  • Damages exceeding $500 in any case, except where such limitation is prohibited by applicable law

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HEEZ RESEARCH OR ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE WEBSITE, RELIANCE ON INFORMATION PROVIDED ON THE WEBSITE, OR THE USE, MISUSE, HANDLING, OR STORAGE OF OUR PRODUCTS.

In direct consideration of the sale, you agree to indemnify, defend, and hold harmless HEEZ Research and its owners, members, managers, employees, affiliates, and agents from any claims, losses, liabilities, or expenses (including attorneys’ fees) arising from your use of the Website; your handling, misuse, or transfer of any product; or any violation of these Terms.

Intellectual Property

The listing of a product on the Website does not grant or imply any license to use it in violation of any existing patents. HEEZ Research owns all intellectual property rights in Website content and design, product formulations and synthesis methods, trademarks and trade names, and technical documentation. All other trademarks, logos, and brand names remain the property of their respective owners.

You shall not: reverse engineer products; use HEEZ Research’s intellectual property to develop, manufacture, or market competing products; remove proprietary notices; or use automated means (bots, scrapers, data mining tools) to access or harvest data from the Website.

You receive a non-exclusive, non-transferable, revocable license to use the products solely for internal research purposes in accordance with these Terms.

Privacy Policy

We collect personal information including your first name, last name, email address, billing and shipping addresses, payment information (processed securely through third-party providers), phone number, and date of birth for age verification purposes.

How we use your information:

  • To process and fulfill orders
  • To verify your age and eligibility to purchase our products
  • To communicate with you about your orders and provide customer support
  • To comply with regulatory and legal obligations
  • To prevent fraud

We may share your personal information with payment processors, shipping carriers, and legal/regulatory authorities if required by law or to enforce our Terms. We do not sell or rent your personal information to third parties for their marketing purposes.

Your rights: Depending on your location and applicable law, you may have rights to access, delete, correct, port, or restrict the processing of your personal information, withdraw consent, appeal our decisions, and manage communication preferences. To exercise these rights, contact support@heezresearch.com . We will respond within the timeframe required by applicable law, typically thirty (30) to forty-five (45) days of receipt.

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

The parties agree to attempt, in good faith, to resolve any dispute through informal negotiation for thirty (30) days prior to commencing any formal dispute resolution proceedings. Any unresolved disputes shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Florida, and judgment on the arbitration award may be entered in any court having jurisdiction.

Each party shall bear its own costs and attorneys’ fees, except that the prevailing party shall be entitled to recover reasonable attorneys’ fees and costs from the non-prevailing party. Notwithstanding the foregoing, HEEZ Research may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to enforce payment obligations, without the requirement of posting a bond.

General Provisions

Entire Agreement: These Terms constitute the sole and entire agreement between you and HEEZ Research and supersede all prior agreements relating to the subject matter hereof.

Changes to Terms: HEEZ Research reserves the right to update or modify these Terms at any time. Changes will be posted on this webpage and take effect immediately upon posting. Continued use following changes constitutes your acceptance of the modified terms.

Severability: If any provision is held invalid, illegal, or unenforceable, that provision shall be reformed or eliminated to the minimum extent necessary; the remaining provisions shall continue in full force and effect.

Force Majeure: HEEZ Research shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government actions, labor disputes, supplier failures, or transportation disruptions.
